Terms of Service

These Terms of Service govern your access to and use of Unet's email platform, covering account registration, billing, acceptable use, data ownership, liability, and dispute resolution.
1. Acceptance of these Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Unet ("Unet", "we", "us", or "our") governing your access to and use of Umail (the "Service"). By creating an account, or by accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Usage Rules, which are incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
2. Eligibility
You must be at least 16 years old, or the age of legal majority in your jurisdiction if higher, to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement and that you are not barred from using the Service under the laws of any applicable jurisdiction, including export control and economic sanctions laws.
3. Description of the Service
Umail is a hosted email platform providing mailbox hosting, custom domain support, and related features for personal and business use. We may add, modify, or discontinue features of the Service at any time. Where a change materially reduces the functionality available under your paid plan, we will use reasonable efforts to notify you in advance.
4. Account Registration and Security
You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication recovery codes, and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately at [email protected] if you become aware of any unauthorized access to or use of your account.
5. Subscription Plans, Fees, and Payment
Certain features of the Service are offered under paid subscription plans, billed in advance on the monthly or annual cycle selected at signup. You authorize us, or our payment processor, to charge your chosen payment method for all fees due under your plan. Except as required by applicable law or as set out in our 30-day money-back guarantee below, fees already invoiced for a billing period are non-refundable. Under that guarantee, any paid-plan charge may be refunded in full if you contact [email protected] within 30 days of that charge; refunding it cancels the subscription and ends access to the paid plan's features immediately.
6. Changes to Fees and Plans
We may change the fees for any plan, or introduce new fees, at our discretion. We will provide at least 30 days' advance notice, by email or in-app notice, before a fee change takes effect for an active subscription. Your continued use of the Service after a fee change takes effect constitutes acceptance of the new fee.
7. Cancellation, Suspension, and Refunds
You may upgrade, downgrade, or cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period unless otherwise stated at the time of cancellation. We do not provide prorated refunds for a partial billing period, except where required by applicable law. We may also suspend or terminate your access to the Service as described in Section 17 (Term and Termination).
8. Acceptable Use
Your use of the Service is subject to our Usage Rules, which are incorporated into these Terms by reference and describe prohibited content and conduct, including without limitation spam, malware distribution, phishing, and abuse of shared infrastructure. A violation of the Usage Rules is a violation of these Terms.
9. Customer Content and Data Ownership
As between you and Unet, you retain all ownership rights in the content you upload, send, or store using the Service, including messages, attachments, and contacts ("Customer Content"). You grant Unet a limited, non-exclusive license to host, store, transmit, and process Customer Content solely as necessary to provide and support the Service. We do not scan the content of your messages for advertising purposes and do not sell Customer Content to third parties.
10. Our Access to and Use of Your Data
We access Customer Content and account data only as reasonably necessary to operate, secure, and support the Service; to respond to a support request you initiate; to enforce these Terms and the Usage Rules; or to comply with a valid legal obligation, such as a court order or a lawful government request. Our collection and use of personal data is further described in our Privacy Policy.
11. Custom Domains and Third-Party Services
If you connect a domain you own to the Service, you are solely responsible for that domain's DNS configuration, including SPF, DKIM, and DMARC records, and for all mail sent or received through it. The Service may integrate with or link to third-party services that are not owned or controlled by Unet; we are not responsible for the content, policies, or practices of any third-party service.
12. Intellectual Property Rights
The Service, including its software, design, trademarks, and the Umail and Unet names and logos, is owned by Unet or its licensors and is protected by applicable intellectual property laws. Except for the limited right to use the Service as permitted under these Terms, no right, title, or interest in the Service is transferred to you.
13. Confidentiality
Each party agrees to use the other party's confidential information only as necessary to perform its obligations under these Terms, and not to disclose it to third parties except as required by law or as necessary to provide the Service, such as to a hosting or infrastructure subprocessor bound by confidentiality obligations.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Unet SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Unet'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO Unet FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Indemnification
You agree to indemnify, defend, and hold harmless Unet and its officers, employees, and agents from any claim, liability, damage, or expense, including reasonable legal fees, arising from your use of the Service, your Customer Content, or your violation of these Terms or the Usage Rules.
17. Term and Termination
These Terms remain in effect for as long as you maintain an account with the Service. We may suspend or terminate your account, with or without notice, if you materially breach these Terms or the Usage Rules, if required to do so by law, or if we discontinue the Service. Where practicable, we will provide advance notice of suspension or termination and an opportunity to remedy the issue, except in cases of serious abuse, such as active spam campaigns or a security threat, where immediate action is necessary to protect other users. Upon termination, your right to access the Service ends immediately; we may retain or delete Customer Content in accordance with our data retention practices and applicable law.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Azerbaijan, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms that cannot be resolved informally shall be submitted to the competent courts of Azerbaijan, unless mandatory local law in your jurisdiction requires otherwise.
19. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disaster, war, terrorism, labor disputes, internet or telecommunications failures, or governmental action.
20. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the Usage Rules and our Privacy Policy, constitute the entire agreement between you and Unet regarding the Service.
21. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide notice by email or through an in-app notice at least 14 days before the change takes effect. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
